Written Answers. - Directors of State-Controlled Companies.

asked the Minister for Finance if he will state in respect of each of the years 1932 to 1946: (i) the name of each company, set up under the Companies Acts, in which the State has a financial interest by direct subvention, share subscription, guarantee or otherwise; (ii) whether any, and if so, what Minister, Department of State, or other State-controlled company has any rights to appoint the directors of each such company, and if so, what are such rights; and (iii) the name, date of appointment and remuneration of each member of each such board or controlling body, and whether any such members are entitled to carry on other gainful activities.

The particulars asked for by the Deputy in relation to certain companies set up in the years 1932 to 1946 are contained in the following statement:—

(i) Aer-Rianta, Teoranta, and Aer Lingus, Teoranta. Virtually all the capital of Aer-Rianta, Teoranta, is held by the Minister for Finance. Apart from shares held by the subscribers to the memorandum of association and by the directors, all the capital of Aer Lingus is held by Aer-Rianta, Teoranta.

(ii) The Minister for Finance has the right to appoint all directors of Aer-Rianta, Teoranta, after consultation with the Minister for Industry and Commerce, in accordance with the company's articles of association.

The Minister for Industry and Commerce has the right to appoint all directors of Aer Lingus, Teoranta, in accordance with the company's articles of association.

(iii) The following table shows the names, dates of appointment and tenure of office of the directors of Aer-Rianta, Teoranta, and Aer Lingus, Teoranta, since incorporation:—

Since 1st December, 1941, the remuneration of each of the directors of Aer-Rianta, Teoranta, is at the rate of £300 per annum. Directors of Aer Lingus, Teoranta, who are also directors of Aer-Rianta, Teoranta, receive no extra remuneration. Directors of Aer Lingus, Teoranta, who are not also directors of Aer-Rianta, Teoranta, receive remuneration at the rate of £300 per annum. Members of the boards of both companies are entitled to carry on other gainful occupations.

(i) Cólucht Groighe Náisiúnta na h-Eireann, Teoranta (The Irish National Stud Company, Limited) was incorporated on the 11th April, 1946, under the Companies Acts, 1908 to 1924, and is governed by the provisions of the National Stud Act, 1945. The financial interest of the State derives from Sections 15, 16, 18, 19 and 21 of the National Stud Act, 1945.

(ii) The right to appoint directors is vested by the company's articles of association in the Minister for Finance, after consultation with the Minister for Agriculture.

(iii) The names, date of appointment and remuneration of the directors are as follows:—

(i) Comhlucht Gual Láthrach Shliabh Árdachadh, Teoranta, was incorporated on the 20th May, 1941, in accordance with the Slievardagh Coalfield Development Act, 1941. The company was dissolved and its undertaking transferred to Mianraí, Teoranta, on 1st June, 1945, by the Minerals Company Act, 1945. All the shares were held by or on trust for the Minister for Finance. Repayable advances were made to the company from the Vote for Industry and Commerce.

(ii) The articles of association of the company provided that the chairman, managing director and other directors should be appointed by the Minister for Finance after consultation with the Minister for Industry and Commerce.

(iii) The particulars required regarding the directors are given in the following statement:—

The managing director was not allowed to engage in or be connected with any outside business so long as his appointment continued, but the other members of the board of directors were free to carry on other gain ful activities.

(i) Comhlucht Lorgtha agus Forbartha Mianraí, Teo. (Mianraí, Teo., as from 1st June, 1945) was incorporated as a public limited liability company on the 1st September, 1941, in accordance with the provision of the Minerals Exploration and Development Company Act, 1941. All the shares are held by, or on trust for, the Minister for Finance. Repayable advances are made to the company from the Vote for Industry and Commerce.

(ii) The articles of association of the company provide that the chairman, the managing director and all the other directors shall always be appointed by the Minister for Finance, after consultation with the Minister for Industry and Commerce and the Minister for Agriculture.

(i) Comhlucht Siúicre Éireann, Teoranta, is a public limited liability company established in accordance with the provisions of the Sugar Manufacture Act, 1933. The majority of the shares is held by the Minister for Finance.

(ii) The articles of association provide that the number of directors shall be seven, of whom, in existing circumstances, four are nominated by the Minister for Finance, after consultation with the Minister for Agriculture and the Minister for Industry and Commerce, and three are elected by the members of the company.

The position of director (including managing director) is part-time. The first chairman (Dr. Hinchcliff), the first vice-chairman (Mr. Connell), and the first managing director (Mr. Hayek) held full-time posts.

(i) Fuel Importers (Éire), Limited, was incorporated on 8th July, 1940, as a limited liability company.

The Minister for Finance has, under the Emergency Powers (No. 157) Order, 1942, as amended, guaranteed the borrowings of the company from its bankers up to a limit of £2,000,000.

(ii) No Minister, Department of State or other State controlled company has any rights of appointment of the directors of the company.

(iii) The board of directors of the company and their dates of appointment are as follows:—

In accordance with the provisions of the articles of association of the company no remuneration has been paid to any of the directors, all of whom are entitled to carry on other gainful activities.

(i) Grain Importers (Éire), Limited, was incorporated under the Companies Acts, 1908 to 1924, on the 29th September, 1939. The Minister for Finance has guaranteed, under the Emergency Powers (No. 157) Order, 1942, as amended, the company's borrowings from its bankers within a maximum of £1,250,000. The losses incurred by the company on the allocation of wheat to millers are met out of moneys voted by the Oireachtas for Food Subsidies (Vote for Industry and Commerce).

(ii) No provision is made in the articles of association for the appointment of directors of the company by any Minister or Department of State, or other State controlled company.

(iii) Five of the six directors were appointed on the incorporation of the company on 29th September, 1939. Their names are:— J.M. Aimers, T.W. H. Davies, H. Golden, J.P. Goodbody, F.P. Hallinan. The sixth director, Major T.D. Hallinan, was co-opted as an additional director on the 4th October, 1939.

The directors do not receive any remuneration for their services, by way of fees or otherwise.

There is no restriction on the carrying on of other gainful activities by the directors.

(i) The Industrial Credit Company, Ltd., was incorporated as a limited liability company on the 4th October, 1933, in compliance with the provisions of the Industrial Credit Act, 1933. The majority of the shares are held by the Minister for Finance.

(ii) There are five directors, three of whom are nominated by the Minister for Finance, two being elected by the shareholders.

The chairman and managing director is obliged to devote his whole time to the company's business. The ordinary directors are not restricted from engaging in other activities.

(i) The Industrial and Life Assurance Amalgamation Co., Ltd., was incorporated on the 31st October, 1938, in compliance with the provisions of the Insurance (Amendment) Act, 1938. The Act authorised the Minister for Finance to pay to the company all such sums as might be required to meet deficiencies in the funds of the companies participating in the amalgamation. The Act also provided for the allotment of shares to the Minister for Finance, who holds all the shares with voting rights.

(ii) The directors of the company are appointed by the Minister for Industry and Commerce.

The warrant of appointment of the managing director contains the usual clauses prohibiting competitive activities but otherwise all directors are entitled to carry on other gainful activities.

(i) The Irish Assurance Company, Limited, was incorporated on the 15th March, 1939, in compliance with the provisions of the Insurance (Amendment) Act, 1938. All the original share capital of the company is held by the Industrial and Life Assurance Amalgamation Company, Limited, in which the Minister for Finance holds all the shares with voting rights.

(ii) The Minister for Industry and Commerce had the right to appoint the first directors of the company. He also had the right to appoint the first managing director and his successor should the first managing director cease to hold office during six years from the incorporation of the company. Otherwise the directors are appointed by the company in the ordinary way.

(i) Irish Shipping, Limited, was incorporated under the Companies Acts on the 21st March, 1941.

The total capital of the company is 200,000 shares of £1 each of which the Minister for Finance holds all except seven shares consisting of the directors' qualification shares and one share held by the secretary. A guarantee by the Minister for Finance of borrowings by the company up to a maximum of £2,000,000 in accordance with the Emergency Powers (No. 157) Order, 1942, lapsed in August, 1942, no payment by the Minister being required thereunder.

(ii) In accordance with the articles of association of the company, the Minister for Finance, after consultation with the Minister for Supplies, appointed the first directors of the company. The articles also provide that so long as the Minister for Finance holds not less than one-tenth in nominal value of the issued shares of the company, or so long as any debentures of the company guaranteed by him are outstanding, any vacancy in the directorate nominated by him shall be filled by his nomination, after consultation with the Minister for Supplies (now Industry and Commerce).

(iii) The following members of the board were appointed on 21st March, 1941:—Mr. John Leydon (chairman), Mr. S.J.K. Roycroft, Major T.D. Hallinan, Mr. T.J. Flynn, Mr. J.J. Stafford (Junior), Captain A.S. Gordon. On the 6th December, 1945, Mr. J.P. Reihill and Mr. J.F. Dempsey were appointed to fill the vacancies occurring on the resignations of Captain Gordon and Mr. Flynn. Mr. Dempsey resigned on the 22nd August, 1946.

Major Hallinan and Messrs. Reihill, Roycroft and Stafford have accepted director's fees at the rate of £500 per annum as from 1st July, 1945, the 6th December, 1945, the 1st July, 1946, and the 1st July, 1946, respectively. Mr. J. F. Dempsey accepted fees at similar rates from 6th December, 1945 to 22nd August, 1946. The chairman acts without remuneration. There is no restriction on members of the board from carrying on other gainful activities.

(i) Monarchana Alcóil na hÉireann, Teo., was incorporated on the 16th November, 1938, as a limited liability company in compliance with the provisions of the Industrial Alcohol Act, 1938. Virtually the entire share capital is held by the Minister for Finance.

(ii) Three of the directors hold office by nomination of the Minister for Finance and two by election by the members of the company.

The managing director is obliged to devote the whole of his time to the business of the company. There is no restriction on the ordinary directors engaging in other gainful activities.

(i) Oils and Fats (Éire), Limited, is a non-profit-making company, incorporated under the Companies Acts on 18th February, 1944, to purchase and import available supplies of vegetable oils and animal fats. The Minister for Finance has under the Emergency Powers (No. 157) Order, 1942, as amended, guaranteed the borrowings of the company up to a limit of £1,500,000.

(ii) No Minister, Department of State, or other State controlled company has any formal statutory rights regarding the appointment of the directors of the company. The Minister for Supplies, however, nominated the original board of directors of the company from a panel of names submitted by the various interests affected by the company's activities.

(iii) The board of directors of the company which was nominated by the Minister for Supplies on 15th December, 1943, is comprised as follows:—Timothy O'Mahony (chairman), Geoffrey Causer, Evilyn C. Harrington, Reginald Knight, Uneko Jacob Reinders, Stanley H.L. King, John F. Punch. None of the directors is entitled to any remuneration. The directors may carry on other gainful activities.

(i) Tea Importers (Éire), Limited, was incorporated as a private limited company on the 8th July, 1941. The Minister for Finance has, under the Emergency Powers (No. 157) Order, 1942, as amended, guaranteed the borrowings of the company from its bankers up to a limit of £1,500,000 and subsidies from voted moneys have been paid to the company in recoupment of trading losses sustained by it.

(ii) No Minister, Department of State or other State-controlled company has any right of appointment of directors of the company.

(iii) Messrs. David Coyle, Percy McGrath, John F. Punch and Henry J. Simpson have held office as directors continuously since the incorporation of the company on 8th July, 1941. In accordance with the provisions of the articles of association of the company no remuneration has been paid to any of the directors, all of whom are entitled to carry on other gainful activities.

(i) Timber Importers, Limited, was incorporated on 20th November, 1939, under the Companies Acts. The articles of association provide that on the winding up of the company any surplus assets available shall be paid or transferred to the Minister for Finance for the benefit of the Exchequer.

(ii) The directors are appointed in accordance with article 14 of articles of association which gives the right of nomination in specified proportions to certain named associations. No Minister, Department of State or other State-controlled company has any rights in regard to their appointment.

The directors are normally not entitled to any remuneration. A director required to go abroad or to render any other extraordinary service may be granted such special remuneration for the services rendered as the directors think proper.

Directors are entitled to carry on other gainful activities.

(i) The Turf Development Board, Ltd., incorporated as a limited liability company on the 16th July, 1934, was dissolved on 20th June, 1946, under the Turf Development Act, 1946. Non-repayable Grants-in-Aid in respect of administrative expenses and repayable Grants-in Aid for the development of bogs were made to the company from voted moneys.

(ii) Under the articles of association the directors of the company were nominated by the Minister for Industry and Commerce, with the approval of the Minister for Finance.

The particulars asked for by the Deputy in relation to certain boards or corporations set up in the years 1932 to 1946 are contained in the following statement:—

(i) The Agricultural Wages Board was set up under the provisions of the Agricultural Wages Act, 1936. The expenses of the board, including the payment of the chairman and staff, are borne on the Vote for Agriculture.

(ii) The board consists of 12 members, namely the chairman and 11 ordinary members. Of the 11 ordinary members three are neutral members, four are employers' members and four are workers' members. The chairman and 11 ordinary members are nominated by the Minister for Agriculture.

The managing director is required to devote the whole of his time to the duties of his office. The Central Bank Act provides that the board shall consist of three banking directors and such number of other directors, not exceeding five, as the Minister for Finance may from time to time determine. Not more than two directors who are in the permanent service of the Government may hold office at any one time. There are no other provisions bearing on the carrying on of other gainful activities by the directors, except that a director is, while holding office as such, disqualified from being nominated or elected and from sitting or receiving payment as a member of Dáil Eireann or of Seanad Eireann or as Uachtarán.

(i) Córas Iompair Éireann was set up by Section 9 of the Transport Act, 1944. The debenture stock of Córas Iompair Éireann, and also the interest thereon, subject to a maximum of 3 per cent. per annum is guaranteed by the Minister for Finance.

(ii) The six stockholders' directors are appointed in pursuance of Section 37 and the Fourth Schedule to the Transport Act, 1944. The chairman is appointed by the Minister for Industry and Commerce under Section 39 of the Act.

The amount of fees to be paid to the directors, including the chairman, was determined, pursuant to the provisions of the Transport Act, 1944, at the first ordinary meeting of the common stockholders of the company held on 28th February, 1945. The following resolution was passed:—

"That the fees to be paid to the board of directors be, and are hereby determined at £8,500 per annum."

The amount of fees paid to individual directors is not known.

The chairman holds office on the condition that he shall devote so much of his time to his duties as chairman as shall be necessary for the proper and efficient discharge of those duties. There is no restriction on the stockholders' directors from engaging in other gainful activities.

(i) Cumann an Árachais Náisiúnta ar Shláinte was established in 1933 under the National Health Insurance Act, 1933.

(ii) In accordance with the provisions of that Act, the Minister for Local Government and Public Health appointed a provisional committee of three persons to administer the affairs of the society. The National Health Insurance and Widows' and Orphans' Pensions Act, 1936, provides that the committee of management shall consist of 15 members of whom seven are appointed by the Minister for Local Government and Public Health, three are nominated by the Irish Trade Union Congress and five are elected by an electorate nominated by local authorities.

(iii) The members of the provisional committee, who held office until 1936, were:—Mr. D.J. O'Donovan (chairman), Mr. W.J. Kavanagh, Mr. P.J. Keady. The constitution of the committee of management for each year from 1936 onwards is set out in a separate statement.

The chairman of the provisional committee, who was a civil servant, received, in addition to his Civil Service salary, an allowance at the rate of £250 per annum. The other two members of the provisional committee, who were also civil servants, received allowances at the rate of £150 per annum.

The chairman of the committee of management for the years 1936/37 to 1944/45, Inclusive, received an allowance of £10 in respect of each attendance at a meeting of the committee to cover all expenses, including travelling and subsistence. The chairman for the year 1945/46 and the present year receives an allowance at the rate of £250 per annum.

The members of the committee other than the chairman, in addition to travelling and subsistence expenses, and recoupment of any wages lost through attendance at meetings, receive an allowance of £2 in respect of each attendance at a meeting of the committee of management and £1 in respect of each attendance at any other meeting, e.g., of a sub-committee.

The only restriction as regards employment placed on members of the committee of management is that contained in Section 8 of the National Health Insurance Act, 1933, which provides that a member of the committee may not be a member of the committee of management or board of directors of any society or company transacting insurance business or be employed as an officer, agent or employee of any such society or company.

(i) The Irish Tourist Board was established on 1st August, 1939, under Section 4 of the Tourist Traffic Act, 1939.

A non-repayable Grant-in-Aid of the board's administrative and other expenses is provided annually out of moneys provided by the Oireachtas. Repayable advances are made to the board from the Central Fund.

Owing to circumstances arising out of the emergency, the remuneration of the chairman was voluntarily reduced to £500 and the remuneration of each of the other members was reduced to £100 from the 1st April, 1941. From the 1st January, 1943, the remuneration of the board was increased to £1,200 in the case of the chairman and £200 in the case of each of the other members and as from the 1st April, 1944, the chairman's remuneration was increased to the original figure of £1,500.

The members of the board are entitled to carry on other gainful activities except that under Section 5 of the Act no member of the board, while holding office as such, may be nominated or elected as a member of the Dáil or Seanad.

(i) The Pigs and Bacon Commission was set up under the provisions of Section 4 of the Pigs and Bacon (Amendment) Act, 1939.

Under the Emergency Powers (No. 157) Order, 1942, the Minister for Finance has guaranteed the repayment by the Pigs and Bacon Commission of moneys within a maximum of £500,000 borrowed from time to time with his consent.
