Special Committee Companies Bill, 1962 debate -
Tuesday, 12 Mar 1963

SECTION 157.

Question proposed : " That Section 157 stand part of the Bill."

This would be new?

It takes the place of Section 113 of the Act of 1908, but it is not on exactly the same lines.

In what way does it differ?

There are only drafting changes involved. The words " annexed " and " attached " are very carefully used in Section 157 for drafting purposes in order to tie up with other provisions in the Bill relating to accounts. There is a distinction between " annexed " and " attached ". Otherwise, Section 157 repeats provisions contained in Section 113 (3) and (4) of the Act of 1908.

There is reference there to the auditor's report. Is that meant to refer only to the report where the auditors have found all information disclosed to them, and followed by their certificate, or does it refer to the full report to the board of directors?

The auditor's report will be confined to the usual formal certification. It will be the report set out in the Seventh Schedule, as required by Section 163.

Question put and agreed to.
