SECTION 351.

Question proposed: " That Section 351 stand part of the Bill."

In regard to this Part of the Bill generally, are many of the provisions new?

No. They are very much the same as existing law except that they are an elaboration of it.

Is it in line with English law?

It is, and with the law in the Six Counties.

Where did the elaborations come from? Are we borrowing from the experience of the British Acts?

To a large extent, we are borrowing from neighbouring countries.

You have to some extent this background: prior to the development of the State here, there was reciprocity in practice, if not in theory, between this country and Great Britain in relation to administrative arrangements. More and more, this country is becoming a foreign country in relation to Britain and vice versa. How far will these provisions now about to come into force crystallise the practical differences between the two countries?

I do not think they make any changes of real significance as regards the operation here of British companies.

Will this Bill mean that we will approximate more closely to British commercial law than under the 1908 Act?

We will certainly be brought more into line with British company law. That, in fact, was specifically recommended by the Company Law Committee.

Is this section we are discussing old or new?

It is new, to some extent.
