Vol. 287 No. 8

Written Answers. - Board Representatives.

63.

asked the Minister for Transport and Power if he will appoint a representative from Verolme Cork Dockyard Limited to the board of Irish Shipping Limited.

The articles of association of Irish Shipping Ltd. provide that the number of directors shall not exceed seven and that all vacancies on the board including the office of chairman, shall be filled by a nomination in writing of the Minister for Finance after consultation with me. At each annual general meeting of the company the two directors who have been longest in office must retire but retiring directors are eligible for renomination. The annual general meeting is usually held in June or July. There are no vacancies on the board at present.

In selecting members for the boards of State companies I have regard principally to their personal suitability and capacity. It is not the practice to appoint members to a board in a representative capacity as this could lead to major conflicts of interest and create difficulties for the company.

In accordance with Section 8 of the British and Irish Steampacket Company Limited (Acquisition) Act, 1965, the board of the B & I Company consists of not more than seven directors, including the chairman. Appointments to the board are made by me with the consent of the Minister for Finance. There are no vacancies on the board at present.
