Written Answers. - Company Directors' Obligations.

Question:

74 Mr. Spring asked the Minister for Industry and Commerce if he is satisfied that adequate information is available for persons who become company directors; and if he will take steps to ensure that company directors are informed by his Department of their obligations under the Companies Act.

Company directors have a wide range of responsibilities, including their obligations under company law. It is important that directors, or prospective directors, should ensure that they are fully appraised of their responsibilities, securing such professional advice as necessary. A number of guides have been published for directors by professional and representative bodies. The provision of such information or advice would not generally be a function proper to my Department. In so far as responsibilities arise for ensuring that statutory returns are properly filed at the Companies Office, that Office has produced guidance notes which are available for purchase there.
