Written Answers. - Guidelines for Privatisation Prospectus.

Ceist:

116 Mr. Hogan asked the Minister for Finance if he will outline the general criteria or guidelines, in respect of the information required, to be disclosed in any prospectus for the privatisation of a semi-State company; and if he will make a statement on the matter.

The information to be disclosed in a prospectus in respect of a semi-State body which it is proposed to sell by way of an offer for sale through a listing on the Stock Exchange is the same as that applying to private sector companies seeking such a listing.

The requirements in question are set out in the Stock Exchange's manual "Admission of Securities to Listing", generally kown as the "Yellow Book", which also incorporates EC Directives in this area. The very detailed requirements include information on the financial structure of the company, its trading history and prospects, the securities being offered for sale, the management, directors' and accountants' reports.
